Welcome to ALM-NGU LLC ("Company," "we," "us," or "our"). By engaging with our consulting services, you ("Client," "you," or "your") agree to the following Terms of Service ("ToS"). Please read them carefully.

1. Services Provided

ALM-NGU LLC provides consulting services to oil and gas companies, including but not limited to:

  • Regulatory compliance

  • Operational efficiency

  • Sustainability and environmental consulting

  • Strategic planning

  • Risk management

  • Community and government relations

Specific services will be outlined in a separate Service Agreement or Statement of Work (SOW).

2. Client Responsibilities

  • Provide accurate and timely information required for the delivery of services.

  • Designate a point of contact for communication and decision-making.

  • Adhere to agreed-upon timelines and payment terms.

3. Fees and Payment

  • Fees for services will be outlined in the Service Agreement or SOW.

  • Payment is due within [e.g., 30 days] of invoice receipt unless otherwise agreed.

  • Late payments may incur interest at [e.g., 1.5%] per month or the maximum allowed by law.

4. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary or sensitive information shared during the engagement. This obligation survives the termination of services.

5. Intellectual Property

All materials, reports, and deliverables created by ALM-NGU LLC remain our intellectual property unless otherwise agreed in writing. Clients are granted a non-exclusive license to use deliverables for their intended purpose.

6. Limitation of Liability

  • ALM-NGU LLC’s liability is limited to the fees paid by the Client for the specific service in question.

  • We are not liable for indirect, incidental, or consequential damages arising from our services.

7. Termination

  • Either party may terminate services with [e.g., 30 days] written notice.

  • Clients are responsible for payment of all services rendered up to the termination date.

8. Governing Law

These Terms of Service are governed by the laws of the State of Georgia. Any disputes will be resolved in the courts of Fulton County, Georgia.
